The Overseas Companies Regulations 2009 (SI 2009/1801) came into force on 1st October 2009 and provides a single regime for overseas companies wanting to have an establishment in the UK. An overseas company must register at Companies House within one month of opening its UK establishment.
Overseas companies registered in the UK also display their UK registered company name (as registered at Companies House) at every location in the UK at which it carries out business, and at the service address of every person authorised to accept service documents on behalf of the company.
To ensure ongoing compliance in the UK, an overseas company with a UK establishment must file a return with the Registrar of Companies should its registered particulars ever change change.
