Non-profit charity companies fall under the company type limited by guarantee which can be registered online at Companies House securely via QF Registrars. Companies limited by guarantee are normally incorporated for non-profit making functions, with no share capital and have members rather than shareholders. A member contributes no funds but guarantees to contribute an amount - usually a nominal sum of no more than £1.00 which becomes due in the event of the company being wound up.

A company limited by guarantee may adopt the set of model articles and in the absence of bespoke articles of association being registered, these articles will apply in default. A company limited by guarantee is also required to adhere to the filing obligations as set out in the Companies Act 2006. Community interest companies and charities are also subject to additional filing and reporting obligations as set out in the Community Interest Company Regulations 2005 (as amended) and the Charities Acts 2006 and 2011 respectively.
