A limited liability partnership (LLP) is a partnership that is a body corporate, has its own legal personality and is registered under the Limited Liability Partnerships Act 2000 (as amended). An LLP is organised and taxed like a partnership, but in other respects is very similar to a limited company.
An LLP is governed by its partnership agreement and by partnership law. Unlike the Articles of Association of a company a partnership agreement is a private document. A partnership agreement would include such matters as members' shares and contributions, banking arrangements, drawings and members' obligations. In the absence of any written agreement default provisions, as set out in regulations 7 and 8 of the Limited Liability Partnership Regulations 2001 (SI 2001/1090) will apply.
Like a limited company an LLP must file annual returns and annual accounts and inform the Registrar of all changes to members and registered office details, etc.
