What is an Unlimited Company?

Unlike its limited company counterpart, the members of an unlimited company have unlimited joint and severable liability for the company's debts in the event of the company becoming insolvent. The unlimited nature of the members' liability means the unlimited company is not subject to as stringent a disclosure regime as limited companies.

An unlimited company must be a private company and must register its Articles of Association. An unlimited company is not required to file an allotment of shares.
